Overview

Heather Irvine is co-head of Bowmans’ Technology Sector and a partner in the firm’s Competition Practice, based in Johannesburg.

She is a senior regulation specialist with deep experience with ex post and ex ante regulation of dynamic and rapidly evolving technology markets like artificial intelligence (AI), communications services and infrastructure, social media, e-commerce, App stores, online food delivery and travel booking, media, broadcasting and FinTech.

She has acted for global multinationals and South African listed, non-listed and state-owned companies in some of the continent’s most complex high-profile mergers, as well as in relation to complaints about anticompetitive conduct in South Africa, as well as other African jurisdictions (including Botswana, COMESA, ECOWAS, Kenya, Namibia, Tanzania and Zambia).

She has a strong understanding of evolving legislation and regulations and is able to analyse and present complex economic evidence on competitive dynamics, market structures and pricing effects. Much of her work requires her to navigate highly regulated sectors of the economy like communications and energy (fuel, electricity and gas) and engage with specialist regulators like ICASA, NERSA and ITAC.

Heather assisted the former South African Minister of Economic Development to conceptualise and implement a series of interventions in large mergers by the South African Government using the Competition Act framework, including in the Wal-mart/ Massmart transaction. She has extensive experience in negotiating remedies and public interest commitments with African competition regulators.

She is a member of the Association of Competition Law Practitioners, and in this capacity, has been extensively involved over the last two decades in commenting on proposed amendments to the Competition Act and regulations, Competition Commission guidelines, as well as legislation like the Electronic Communications Act and ICASA Act.

Heather has BA and Honours degrees (both cum laude) and an LLB (magna cum laude), from the University of Cape Town. She served as a researcher to Justice Albie Sachs of the South African Constitutional Court and is an officer of the International Bar Association’s Antitrust Committee.

Experience

Examples of Heather’s experience include:

  • Securing regulatory and merger clearances in multiple jurisdictions on the continent for Groupe Canal+ S.A. for its proposed USD 2.9 billion acquisition of Multichoice Group, one of the most significant transactions to date in the African audiovisual sector, which required merger and regulatory notifications
  • Advising Apple, Amazon, Booking.com and Famous Brands in relation to the Competition Commission’s market inquiry into online platforms, and drafting submissions on the Commission’s proposals for regulation of App Stores, online travel booking, e-commerce and online food delivery
  • Advising Cell C on a proposed merger between MTN and Telkom, as well as in relation to ICASA’s inquiry into mobile broadband services; the Competition Commission market inquiry into mobile data prices; the proposed allocation of high demand spectrum by ICASA; ICASA’s draft End User and Subscriber Charter regulations; ICASA’s amended regulations on number portability, as well as the initial set of regulations published by ICASA to set mobile wholesale call termination rates
  • Advising Harith General Partners on its proposed acquisition of a controlling shareholding in South African Airway
