Overview
Ntokozo is a partner in our Corporate department and a member of our M&A practice.
She has experience in a broad range of corporate and commercial transactions, such as domestic and cross-border private M&A, share and asset/business acquisitions and disposals, black economic empowerment transactions, shareholder and joint venture arrangements, and general corporate and commercial matters. Ntokozo also spent 6 months working in Linklaters’ London office, in the Corporate team.
Experience
Ntokozo has advised:
- Qatar Airways in respect of its acquisition of a shareholding interest in Airlink Proprietary Limited;
- African Rainbow Minerals, through its wholly owned subsidiary ARM Copper Company Proprietary Limited, in relation to its acquisition of 15% of Canadian emerging critical metals company, Surge Copper Corp, on a private placement basis for c. C$3.8 million.
- African Rainbow Minerals on its ZAR 3.5 billion acquisition of the Bokoni Platinum mine from Atlatsa Resources and Anglo-American Platinum.
- Yamana Gold Inc. on the then proposed USD 6.7 billion (approximately ZAR 104 billion) combination of Yamana and Gold Fields Limited by way of a share exchange.
- Absa Bank Limited in relation to M&A aspects of the formation of the African Rainbow Energy Fund Partnership, a private-equity renewable-energy-investment-fund in partnership with African Rainbow Energy and Power Proprietary Limited.
- iThokazi in respect of its merger with uBuzwe Energy, which resulted in the merged entity holding an interest in 17 renewable energy assets comprising solar and wind projects.
- Komatsu Ltd in its acquisition of GHH Group GmbH.
- Caledonia Mining Plc on the sale of its 12 MW solar power plant at the Blanket gold mine, in Zimbabwe.
- Sibanye-Stillwater Limited on aspects of the sale of the Beisa Uranium Project to Neo Energy Metals Plc, including pre-transaction structuring and the royalty agreement on the sale of uranium from the project.
- the team that advised African Rainbow Minerals on various joint venture and commercial arrangements.
- Orion Resources LLP in respect of its provision of funding to Bushveld Resources, in the form of a mining royalty.
- the consortium of acquirers (including a black private equity fund) in respect of the purchase of Proconics Proprietary Limited, an engineering services firm, including the implementation of a debt push down structure in that regard.
- Australian listed company on the acquisition of a diamond mining project in Lesotho.
- one of the funders in respect of the multi-million USD restructure of debt provided to a multi-jurisdictional telecommunications company.
- a major retail company in respect of its half a billion Rand restructure.
- a client in relation to a potential acquisition of iron ore assets in Swaziland, including managing the in-country due diligence and assisting the client in presentations to the Minerals Management Board of Swaziland.
- Barloworld on Phase 1 of the multi-million Rand development of Barlow Park.
- Barloworld on the disposal of its supply chain management business.
- one of the sellers in respect of the acquisition of Neotel by Liquid Telecom.
- Coface South Africa in respect of its B-BBEE transaction.
- IDL Fresh South Africa in relation to Danone Southern Africa’s divestment and related matters.
