• Advising Africa Poultry Development Limited (APDL) on their acquisition of poultry farms in Uganda. Our work involved conducting and preparing a legal due diligence report on the poultry business in Uganda, negotiating and drafting the transaction documents, and managing the completion process.
• Advising Shalina Healthcare Kenya Limited in relation to the acquisition of the entire issued share capital of Provexa Pharma Kenya Limited. Our work involved conducting and preparing a legal due diligence report on the pharmaceutical business in Kenya, negotiating and drafting the transaction documents.
• Advising a fund on their investment into a general industries printing company located in Kenya and Nigeria. Our work involved conducting and preparing a legal due diligence report on the businesses in Nigeria and Kenya, negotiating and drafting the transaction documents.
• Advising Ascent Capital Holdings Africa II Ltd (Ascent) in relation to the acquisition of 75% of the shares in ACME Containers Limited (ACME). Our work involved conducting and preparing a legal due diligence report on the business in Kenya, negotiating and drafting the transaction documents.
• Preparing a vendor due diligence report for a logistics business operating in Mauritius, Kenya and Uganda. Our work involved preparing the vendor due diligence report for eight companies across various jurisdictions and engaging with potential investors through a bidding process.
• Advising a fund into a strategic investment of a distribution business for a local supermarket. Our work involved conducting and preparing a legal due diligence report on the business in Kenya, negotiating and drafting the transaction documents.
• Advising a venture capital firm on a Series C investment of US$ 20,000,000 in a mobile financial solutions provider. Our work involved conducting and preparing a legal due diligence report on the business in Kenya, South Africa, Uganda, Mauritius, United Kingdom, Ghana and Cameroon.
• Advising a venture capital firm on its investment into a global fintech company. Our work involved conducting and preparing a legal due diligence report on the business in Kenya.
• Advising a minority shareholder on the sale of its shares in an insurance company business in Kenya. Our work involved negotiating and drafting the transaction documents and assisting with the completion formalities.
• Advising a fund on their investment in a local university. Our work involved conducting a due diligence review and providing advice on the local laws for expanding a university.
• Advising Domino Investments Limited on the sale of land in Kenya. Our work involved negotiating and drafting the transaction documents and attending to the completion formalities.
• Advising Coca Cola Beverages Africa (Pty) Limited on the consolidation of its bottling subsidiaries in Kenya. Our work involved drafting the transaction documents, advising on the reorganization, minority shareholder rights and attending to the completion formalities.
• Assisted in the drafting of a shareholders agreement for an equity fund and its shares in a flower farm.

ESG and carbon credits

• Trees for the Future, drafting a template farmer carbon credit contract to be entered into with individual farmers participating in the carbon credit project; and (b) training the client’s personnel on the contract and the explanation of legal terms for the benefit of the farmers
• Kipeto Community Development Trust, drafting the trust deed establishing the community trust and advising on the funding agreement between the trust and Kipeto Energy PLC. Our work also involved providing capacity building services by training the trustees on the terms of the trust deed and funding agreement.
• Cella Mineral Storage Inc, providing legal services to Cella Mineral Storage Inc in relation to the implementation of a carbon storage project in Kenya. The work involved drafting and reviewing a carbon storage agreement.
• Hummingbirds AssetCo Blue Carbon, provided legal advice on proposed financing of mangrove restoration project in Kenya. This matter involved work with the Kenya Forest Services, Community Forest Association and community-based organizations.
• Greenlight Kenya, acting as local counsel for General Atlantic in relation to its Series D Preferred shares investment in Greenlight Planet Incorporated. Our work involved conducting and preparing a legal due diligence report on Greenlight Planet Kenya Limited; instructing partner firms, coordinating and compiling the legal due diligence reports from Uganda, Tanzania and Zambia; and advising on merger control and seeking/obtaining clearances in COMESA and Tanzania.
• Yunus Social Business, conducting a high level legal due diligence over Deevabits and drafting debt investment document (debenture) in relation to USD 300,000 loan.
• FSDAi, providing legal and tax advice to FSDAi in relation to their partnership with Cardano and total impact venture JV.
• Provided advice to an ecommerce platform on the Environmental, Social and Governance (ESG) laws affecting its business in Kenya.
• Providing regulatory and restructuring advice to a partnership of international organizations working on gorilla conservation.

Family Business and Trust Structures

• Drafting various family shareholders agreement to regulate the relationship and succession plan between various family members and their corporate entities.
• Providing legal advice on succession law in Kenya, advising and assisting clients with the drafting of their wills.

Corporate Governance

• Drafting and providing training to a local fund on general corporate governance and regulatory issues such as AML and Anti Bribery policies.

• Providing legal support to the inhouse legal team of Stanbic Bank. My work involved providing advice and reviewing contracts with various service providers.
