Victoria advises on all areas of competition law and has been involved in several cross-border transactions across a broad range of business sectors to obtain merger approvals in various African jurisdictions. Through this experience, Victoria has gained a strong appreciation of the competition law landscape and how it affects businesses in practice. Her developing technical skills and cross-border experience enable her to focus on providing practical, commercially focused solutions. She is valued for her analytical mindset and solution-oriented approach in assisting clients in the competition law environment.

Experience

Since joining the Competition Practice Group, Victoria has been involved in numerous complex, multi-jurisdictional mergers across Africa. Her experience includes:

  • Preparing and submitting merger notifications in various African jurisdictions, including CEMAC, COMESA, ECOWAS, Kenya, Mozambique, Nigeria and South Africa.
  • Assisting clients in navigating public interest considerations within the South African merger control landscape.
  • Assisting clients across a wide range of sectors, including consumer goods/FMCG, financial services, healthcare, insurance, logistics and transportation, private equity, pharmaceuticals and mining.
  • Supporting clients in merger intervention proceedings, prohibited practice and competition compliance matters.

Highlights of the notable matters in respect of which Victoria has assisted include advising:

  • BASF SE in the transaction involving the acquisition by (i) Harbour Energy plc of 100% of the shares in Wintershall Newco, a company that was established to hold the non-Russian exploration and production assets of Wintershall DEA AG; and (ii) BASF SE of sole control of Harbour Energy plc and Wintershall Newco. The transaction was valued at EUR 11.2 billion.
  • A multinational telecommunications company in an investigation by the COMESA Competition Commission following a complaint alleging anti-competitive agreements.
  • A multinational investment firm in a transaction involving the acquisition of joint control of a target in the information technology market. The transaction was valued at approximately EUR2.2 billion.
  • Rand Air South Africa Proprietary Limited in proceedings before the South African Competition Commission relating to alleged conduct involving a concerted practice to fix prices and/or trading conditions in the context of renting out plant hire equipment.
  • A multinational investment firm in a transaction involving the acquisition of a target in the logistics and transportation sector. The transaction was valued at approximately USD 1.2 billion.
