Richard is valued for his strong sense of judgment and the considered, strategic approach he takes when providing legal advice. His commitment and approach, combined with his extensive knowledge of the relevant competition legislation in South Africa and other African jurisdictions has earned him the trust of clients at a very early stage of his career.

Richard is trusted by clients to handle complex and challenging matters in a number of African jurisdictions including Angola, Botswana, CEMAC, COMESA, Kenya, Mozambique, Namibia, Nigeria, South Africa, Tanzania and Zanzibar. Richard has had secondments to Bowmans’ offices in Kenya and Tanzania, and knows these jurisdictions well, having gained practical, first-hand experience. Richard also spent 9 months in London, having been selected to participate in a visiting lawyers’ programme offered by an international law firm. These experiences have given Richard an expanded perspective, particularly as regards the enforcement of competition law in Africa, and the needs of UK and US corporate clients.

Richard advises in various aspects of competition law including merger and behavioural matters and has experience across a number of industries, including – the aviation, chemicals, telecoms, transportation, tobacco, food and beverage, advertising, IT services, mining and agriculture industries.  

He has extensive experience in assisting clients with hostile and complex cross-border mergers and has represented clients before the Competition Tribunal of South Africa, the Competition Authority of Kenya and the Tanzanian Fair Competition Commission.

Mergers

  • TotalEnergies in its acquisition of sole control of Total Eren Holding and its subsidiaries, enhancing TotalEnergies’ position within the renewable energies sector.
  • The merging parties in respect of the African merger control aspects in the acquisition by Bunge Global S.A. of sole control of Viterra Limited, to create a global agribusiness solutions company.
  • Platinum Equity, LLC in its acquisition of control of Kohler Co.’s energy business.
  • Groupe Canal+ S.A. in its acquisition involving MultiChoice Group Limited.
  • Vantiva S.A. in its acquisition of the Home Networks Division of CommScope.
  • Anheuser Busch InBev SA/NV (ABI) and Tanzania Breweries Limited (TBL) in relation to appeal proceedings against the decision by the Tanzanian Fair Competition Commission to prohibit ABI’s indirect acquisition of control of Tanzania Distilleries Limited (TDL) and to require TBL to divest of its shareholding in TDL. Pursuant to the appeal, the Tanzanian Fair Competition Tribunal unconditionally approved the transaction and set aside the divestment order.
  • ADQ in respect of the African multi-jurisdictional merger filings required in respect of ADQ’s acquisition of an interest in Louis Dreyfus Company BV.
  • ZF Friedrichshafen AG in its acquisition of WABCO Holdings Inc.
  • Boeing Company in its acquisition of control of the commercial aviation business of Embraer S.A.
  • Melrose Industries plc in respect of the hostile takeover of GKN plc. [Transaction closed: 2018]
    Lactalis in its acquisition of the Infant Nutrition Business of Aspen Pharmacare Holdings Ltd.
  • Berry Global Group, Inc. in respect of its acquisition of RPC Group plc.
  • Mercuria Energy Group Ltd in respect its acquisition of Aegean Marine Petroleum Network Inc.

Market conduct and behavioural investigations

  • Rand-Air (Pty) Ltd in relation to the South African Competition Commission’s investigation into members of the Contractors Plant Hire Association.
  • beIN Media Group LLC in respect of the COMESA Competition Commission’s investigation into licensing arrangements between various broadcasters and the Confederation of African Football within the COMESA Common Market.
  • South African state-owned energy company, Eskom SOC Limited in relation to the South African Competition Commission’s investigation into alleged abuse of dominance by Eskom in the market for the supply of fuel oil to Eskom coal-fired power stations. The matter involved an application for interim relief against Eskom and urgent proceedings before the Competition Tribunal.
  • Advisor to Robert Bosch GmbH in the South African Competition Commission’s investigation into the automotive components sector. A consent agreement was concluded, with no admission of liability on the part of Robert Bosch GmbH.
  • Advising an international client in the tobacco sector in respect of an investigation into alleged vertical and horizontal prohibited practices conducted by the Tanzanian Fair Competition Commission.
  • Various clients before the competition authorities in South Africa, Kenya and Tanzania in relation to restricted trade practice and consumer protection investigations.

Qualifications

  • Bachelor of Commerce degree, a Bachelor of Laws degree, and a Master of Laws degree – all from the University of Cape Town.
  • He is a Mandela Rhodes scholar (UCT & SA, 2015) and an Allan Gray Orbis Foundation fellow.
