Overview
Philippa specialises in commercial property transactions and has experience in all aspects of commercial property law, conveyancing and notarial practice, property development and property finance, as well as real estate due diligences, with a strong focus on (i) the sale and acquisition of immovable property and/or letting enterprises; (ii) leasing arrangements (for both tenants and landlords, but predominantly for tenants); (iii) development of immovable property (industrial, retail, commercial and renewable energy projects); and (iv) development leases.

- As Lenders Legal Advisors for a consortium of Lenders (including inter alia The Standard Bank of South Africa Limited, Nedbank Limited, Absa Bank Limited) in relation to the financing of various renewable energy projects, including the various conveyancing and notarial aspects relating to such projects, including registration of mortgage and notarial bonds. Projects include:
- Scatec ASA, in respect of the three Kenhardt plants in the Northern Cape as part of the RMIPPPP
- Mulilo, in respect of the Mulilo Total Hydra Storage project, as part of the RMIPPPP Round 5.
- AMEA Power, in respect of 120MW Doornhoek project, located in the Northwest Province as part of REIPPPP Round 6 (https://www.ameapower.com/doornhoek-south-africa/).
- As part of the team of legal advisors to USA-based clients, in sustainable food chain investment business, Paine Schwartz Partners and its portfolio company, Agroforest Solutions Inc., in its add-on share‑sale acquisition of Tessara from global investment firm, The Carlyle Group in July 2023.
- As part of the team of legal advisors to Capital works Private Equity regarding its share‑sale acquisition of The Building Company (TBCo) from Pepkor Holdings, valued at ZAR1.2 billion). TBCo operates under the brand names BUCO, Timbercity and Tiletoria with over 160 retails sites across South Africa.
- IWG Plc / Regus in relation to the negotiation and conclusion of lease agreements and addendums to lease agreements for new and existing centres within South Africa, aligning same with client’s group policy.
- Zara Retail South Africa in relation to the negotiation and conclusion of lease agreements and addendums to lease agreements for new and existing stores within South Africa, including the Zara retail store in V&A, Sandton City, Gateway Mall and Canal Walk Mall, being some of Zara’s flagship retail stores in South Africa using the brand’s newest concept design in South Africa, offering a fully integrated experience with the client’s online platform.
- Transferring attorneys on behalf of FirstRand Bank Limited, in relation to the sale of certain of its non‑core residential and/or commercial properties pursuant to auctions and/or tender process.
- Coca‑Cola Beverages South Africa Proprietary Limited, in relation to the negotiation and conclusion of sale agreements, and resultant conveyancing work, in respect of the sale of certain of its non‑core properties located throughout South Africa.
- Changing Tides 91 Proprietary Limited (part of the Flanagan and Gerard Group) in relation to the redevelopment (in joint venture with Boardwalk Mall Proprietary Limited and Emfuleni Resorts (a subsidiary of Sun international)) of the Boardwalk Mall in Port Elizabeth. The redevelopment included the sale of a real right of extension in favour of the Capital Hotel Group for the construction of a hotel adjacent to the mall.
