Noxolo’s experience includes private and public M&A transactions, corporate finance and general corporate law.

She has assisted in the implementation of various private and public M&A transactions in a number of sectors working with a variety of domestic and international clients. She has also assisted in various corporate finance transactions, including rights offers and other securities offerings. Her experience also involves providing corporate advice to project development and financing transactions acting for finance parties across a wide range of sectors in Africa.

Experience

  • Blackstone Inc. in relation to the acquisition of 100% of the issued shares of Hexagon Holdco S.a r.l by Safari Bidco S.a r.l, an affiliate of Blackstone, from Burstone Lux 2 S.a r.l, Burstone Luxembourg Investment Holdingsa r.l, both being affiliates of Burstone Group Limited, and Ed Trust Inl Investment I Proprietary Limited, and the formation of a joint venture where Burstone acquired a 20% interest in the underlying property portfolio acquired by Blackstone.
  • Franco-Nevada (Barbados) Corporation, a subsidiary of Franco-Nevada Corporation in relation to a USD 500-million streaming agreement with multinational metals and mining group Sibanye-Stillwater Limited (Sibanye-Stillwater) with reference to specific production from Sibanye-Stillwater’s Marikana, Rustenburg and Kroondal mining operations located on the Western Limb of the Bushveld Complex in South Africa.
  • Shanghai Fosun New Medicine Research Company Limited (the Offeror), a company incorporated in accordance with the laws of the People’s Republic of China as local counsel in relation to a proposed pre-conditional privatisation and delisting transaction of Shanghai Henlius Biotech Incorporated, a company incorporated in accordance with the laws of the People’s Republic of China by the Offeror, a wholly owned subsidiary of Shanghai Fosun Pharmaceutical (Group) Co., Ltd.
  • Standard Bank and Absa in the financing of three Battery Energy Storage Projects, each with a capacity of 77MWh, 77 MW/308MWh, and 103MW/412 MWh, located in the Northern Cape Province of the Republic of South Africa and developed by EDF Renewables and its Partners as part of the first round of the Department of Mineral Resources and Energy’s Battery Energy IPP programme.
  • Standard Bank, Nedbank and Absa in the financing of a 120 MW solar photovoltaic Project and a 140 MW wind Project, including the construction of a related Main Transmission Substation, located in the Northern Cape Province of the Republic of South Africa and developed by TotalEnergies and Mulilo under the SASOL-AIR LIQUIDE – Renewable Energy Implementation Programme.
  • Standard Bank, Nedbank and Absa in the financing of a 75MWac solar photovoltaic Project with private offtake by Air Products South Africa Proprietary Limited, to be developed by Mulilo in the Northern Cape Province of the Republic of South Africa.
  • Endeavor Group Holdings, Inc. in relation to the South African aspects of the acquisition by TKO Group Holdings, Inc. of certain of Endeavor Group Holdings’ (Endeavor) sports assets in a deal valued at USD 3.25 billion, bolstering TKO Group Holdings’ core Ultimate Fighting Championship and World Wrestling Entertainment businesses. The deal includes Endeavor’s bull riding league Professional Bull Riders, luxury hospitality division, On Location and sports marketing agency IMG.
