Overview

She has experience with entity set up options, navigating compliance requirements for regulated and unregulated entities as well as advising charities and non- profit organisations on establishing and maintaining effective governance structures. She is regularly responsible for:

  • undertaking due diligence exercises in many high- profile Kenyan and international merger transactions, joint venture transactions and private equity transactions;
  • undertaking compliance audits on regulated and unregulated entities;
  • drafting and negotiating of transaction documents (e.g., share purchase agreements, business and assets transfer agreements, shareholders’ agreements, joint venture agreements etc.) for many high-profile Kenyan and international transactions;
  • advice on corporate governance matters, ensuring compliance with relevant regulations across multiple jurisdictions; and
  • general advisory on corporate commercial matters and other related legal matters.

  • A venture capital firm with regards to the establishment of a legal entity in Kenya for its academy operations, including structuring options, tax incentives, and registration support.
  • A high-net-worth family on estate planning, including drafting wills, deeds of settlement, letters of wishes, and establishing trusts.
  • A high- profile construction company on setting up in Kenya including eligibility for a permanent construction license, benefits of local contractor registration, feasibility of attaining the highest contractor category as a branch, and conversion of a branch into a subsidiary.
