Overview
Nabila has completed rotations, consisting of six months at a time in various other practice areas such as Construction Litigation where she assisted in advising clients in corporate matters and resolving complex legal problems through arbitrations, mainly in the transportation sector.
During her time in our General Finance group, she worked mainly in the Debt Capital Markets and the Project Finance space. Notably, she assisted on International Finance Corporation deals and notes issuances for not only corporate clients, but municipalities.
She advises on complex transactions involving companies with significant intellectual property and technology assets (such as software, mobile technology, inventions, brands, copyright, trade secrets, know-how and confidential information) and provides advice on the protection, enforcement, structuring and exploitation of these rights. She regularly advises on the material IP and technology considerations flowing from a broad range of M&A transactions (such as international acquisitions and disposals, public offerings and corporate reorganisations, and international structures).
Her areas of expertise spans general commercial transactions and in-depth knowledge of intellectual property law, particularly regarding licensing, ownership, and assignment of IP technology, telecommunications, fintech and media, entertainment and broadcasting.
She has recently completed her 4 out of the 8 trade mark practitioners exams, emphasising her keen ability to learn and grow within the TMT space.
Experience
Nabila has advised:
- A telco company regarding its buy-back of power-as-a-service assets from a tower company, which included assistance to our client to drafting various agreements to give effect to the transaction.
- A telco company regarding its buy-back of power-as-a-services assets. This including providing end to end assistance to our client in relation to the transaction, including assisting our with the negotiations and drafting of an asset sale and power-as-a-service unwind agreement and amendments to the master lease agreement.
- Sanlam Limited (Sanlam) in relation to its acquisition of up to 100% of the issued share capital in Assupol Life Limited (Assupol) through a scheme of arrangement, with a fallback offer to Assupol shareholders for a purchase price of around R6.5 billion. The TMT team conducted a due diligence into the IP rights and assets held by Assupol, which involved an audit into the trade marks, domain names and copyright owned and used by it, including in relation to its proprietary IT systems. The team also conducted a due diligence into the material IT systems used to operate the business.
- A Swedish FTTx player on the extension of its partnership with a South African Licensed Infrastructure Provider.
- A leading multinational technology company, engaged in e-commerce regarding expanding their reach.
- Support to the M&A team in lieu of the acquisition by Qatar Airways Group of a 25% stake in Southern Africa’s premier independent regional carrier, Airlink.
- Various companies in relation to their IP protection, prosecution, brand strategy, enforcement, litigation and commercialisation of IP throughout Africa.
- Negotiating, drafting and reviewing various types of intellectual property and technology-focused contracts.
