Overview
Jessica is an Associate in our Nairobi office and a member of the Projects, Energy, and Infrastructure Department. Jessica has extensive experience in energy and infrastructure transactions, mergers and acquisitions, corporate and commercial transactions, environmental law, natural resources, climate change, and carbon contracts. She has been involved in advising a wide range of transactions including energy, oil and gas projects, public-private partnerships, public procurement, corporate transactions, carbon projects, and regulatory compliance.
Experience
Jessica’s experience includes advising:
- Africa50 and Power Grid Corporation of India Limited who have been mandated by the Government of Kenya to develop, structure, finance and build certain high priority transmission lines on a public private partnership basis in collaboration with the Kenya Electricity Transmission Company (KETRACO).
- Climate Asset Management Limited in relation to a multi-country agroforestry programme with Global Evergreening Alliance Limited and its implementing partners to restore the land and livelihoods of over two million vulnerable small-scale farming households and enhance the sequestration of greenhouse gas emissions from changes in land management practices.
- Fortescue Future Industries in drafting and negotiating a framework agreement with the Government of Kenya, advising on the applicable legal and regulatory regime relating to geothermal exploration and production and advising on a proposal for collaboration with the state-owned Geothermal Development Corporation Ltd and KenGen including advising on the applicable procurement laws, structuring of the JV arrangements and drafting of the term sheets and substantive agreements.
- IBL Energy Holdings Limited and STOA Infra & Energy on the acquisition of a majority stake in an Equator Energy, is a market leader in solar solutions directed towards the commercial and industrial (C&I) segment in Kenya, Uganda, South Sudan, Somalia and The Gambia.
- Milele Power Limited on the proposed acquisition of KP&P Africa B.V. and Sandpiper Limited’s stake in the Lake Turkana Wind Project amounting to a 25.5% stake.
- A confidential African energy client on the implementation of utility-scale batter energy storage system projects in Kenya and Malawi.
- A confidential client on a due diligence on various aspects of a carbon rights and carbon credits project including advising on the regulatory elements of project implementation, the Kenyan regulatory framework and on required carbon credit licenses and authorizations.
- A confidential client in relation to its discussions with Kenyan energy regulatory authorities in relation to commissioning an energy plant and selling power to the national grid. The advice included advising on the co-location of a data center consuming significant power generated by the commissioned plant.
- A confidential client on the joint development of a 50MW wind farm and a 50MW solar energy plant in Malawi including advising on the due diligence on the project agreements (power purchase agreement, implementation agreement and transmission connection agreement) and negotiating bankability related amendments with the various project counterparties.
- A confidential client on the submission of two private investment proposals (PIPs) under the Public Private Partnerships Act, 2021 to the Government of Kenya in relation to the development, financing, operation and maintenance of two dams in Kenya.
- A confidential Zambian client on its proposed acquisition of a power company in Kenya including structuring the transaction, drafting the various legal documents including a share purchase agreement and a deed of assignment of the project development rights and a shareholders’ agreement.
