Irvin Titus is a Partner and Head of the Corporate Commercial Department at Bowmans Namibia offices, , where he advises clients on complex legal matters across the energy, corporate, and financial sectors.   • Energy and Oil & Gas: Irvin currently advises a leading international energy company on the legal and fiscal dimensions of a final investment decision concerning the development of a major commercial discovery offshore Namibia—a project of considerable national and regional significance. He also regularly counsels multinational oil and gas enterprises on complex transaction structures, due diligence investigations, merger filings, and both asset and share acquisitions.
  • Renewable Energy and Infrastructure: As part of a multidisciplinary team of transaction advisors, Irvin advises Namibia’s national power utility on the procurement and implementation of large-scale renewable energy projects through public-private partnership and independent power producer arrangements, with potential installed capacity of 600MW. He is also advising the Namibian Government on the implementation of a major hydroelectric project expected to deliver 600MW of installed capacity upon commissioning. In addition, Irvin provides counsel on a pioneering green hydrogen initiative in Namibia, supporting international investors and their local partners as they develop facilities in the Erongo region.
  • Mining and Natural Resources: Irvin has advised a prominent private equity firm on the acquisition of interests in significant Namibian mineral assets, overseeing due diligence, transaction documentation, and merger approval processes. He has similarly supported major mining clients on share purchase agreements, regulatory applications, and all aspects of Namibian legal compliance in connection with substantial acquisition transactions.
  • Transport and Strategic Infrastructure: Irvin advises the Ministry of Works and Transport on flagship national infrastructure initiatives, including the Trans-Kalahari Railway project, where he is assisting with the development of a comprehensive RFP document and advising on public-private partnership feasibility. He has similarly advised the Ministry on a comprehensive feasibility study for the Trans-Zambezi Railway Extension (Grootfontein-Rundu-Katima Mulilo), involving cross-border consultations with relevant authorities in Zambia, Angola, and Botswana, evaluation of regional transport demand and commodity flows, assessment of multimodal road and rail alternatives, and identification of the most favourable route for regional railway interconnection. Irvin also advised a global port operator on local law aspects concerning the negotiation, drafting, and implementation of a concession agreement with Namibia’s national port authority.
  • Water Infrastructure: Irvin has provided transaction advisory services to Namibia’s national water utility on the commissioning of a new desalination plant. His role encompassed preparation of inception reports, due diligence to identify and mitigate legal risks, recommendations on the implementation model (PPP or joint venture) under the PPP Act and Public Procurement Act—which were accepted by the Minister of Finance—development of the legal aspects of the business case, drafting of shareholders’ and water supply agreements, transaction structuring, and contract and stakeholder negotiations.
  • Investment and Capital Markets: Irvin has advised a major American investment fund on due diligence relating to a potential equity investment in a company operating wind and solar parks in Namibia. He has also assisted international law firms and their clients on comprehensive due diligence for prospective investments in renewable energy projects within the country, as well as cross-border transactions involving publicly listed companies and Namibian mineral assets.
