Godana has a keen interest in corporate insolvency transactions and restructuring assignments with extensive experience in guiding businesses, creditors, insolvency practitioners and other key stakeholders through complex financial challenges and facilitating successful turnarounds by offering strategic advice and practical solutions tailored to each party’s needs, ensuring that value is preserved and recovery paths are optimized for all involved.
Godana has experience in a wide range of corporate and commercial matters including mergers and acquisitions (public and private), restructuring and insolvency advisory, employment advisory, advising family businesses, establishment of trust structures, corporate advisory work, private equity transactions as well as regulatory compliance.
Moreover, Godana has been featured as a speaker in the World Intellectual Property Conversation (WIPO) on Intellectual Property and Frontier Technologies and is a regular participant in WIPO’s stakeholder forums.
Experience
Godana has advised and/ or assisted with:
- Dutch development bank, FMO, on the insolvency and restructuring aspects of its capital injection in Komaza Forestry Limited (under Administration), a distressed entity, in one of the region’s first successful distressed financing transactions involving institutional investors, Land Degradation Neutrality Fund and AXA Impact Fund.
- British International Investment PLC in relation to the sale of its 10.13% stake in the issued share capital of I&M Group PLC, a leading commercial bank in Eastern Africa.
- Mawingu Networks Limited in its Series B Investment consisting of a capital raise involving three (3) equity investors: InfraCo Africa Investment Limited and the existing institutional investors, EAVF and Dutch development bank, FMO.
- Congo Energy Solutions Limited in its Series B Capital Raise and debt-equity conversion involving various existing institutional investors such as Proparco, EAVF and GAIA Impact Fund, among others.
- A leading fresh fish and sea food exports group in reviewing its corporate structure.
- Providing setting up advice and post-registration support for clients in different sectors including the insurance sectors, telecommunications sectors, banking sectors as well as charitable entities looking to set up in Kenya.
- Establishing trust structures and provision of succession planning advisory services to family businesses.
- A global multinational news channel to establish legal presence in Kenya.
- Africa Oil Corp, a joint venture partner in the Turkana Oil project, on the dissolution of its corporate entities in
- Starbright Holdings Limited in establishing debt to equity conversion structures involving its institutional shareholders, Norfund and Agri-Vie Fund II (PTY) Ltd.
- Providing insolvency and business rescue advisory services to creditors and borrower groups as well as providing direct support to inhouse insolvency practitioners in the administration and liquidation of various entities.
- PEG Africa, a West Africa-based solar energy provider, in relation to the sale of its entire shareholding to Bboxx.
- KONE Corporation, a globally recognized elevator and escalator engineering company, by providing employment advisory services.
- CLASP, an international nonprofit focused on providing technical and policy support to governments worldwide and implementing energy efficiency standards and labels for appliances, in providing employment and corporate advisory services.
- In conducting the due diligence review and transaction documentation in relation to the acquisition by Swissport Kenya Limited of a simple majority of the shareholding in Canken International Limited.
