Overview
Cindy is an associate in our Nairobi office and a member of the Corporate Commercial Department.
She specializes in mergers and acquisitions, private equity, capital markets, competition and anti-trust, corporate finance and general corporate and advisory matters, and is regularly responsible for:
- conducting due diligence for various entities, drafting due diligence reports and executive summaries highlighting red flag issues, any risks arising and advising clients on ways to mitigate the risks identified for entities in various fields such as banking, insurance, manufacturing, and pharmaceutical;
- drafting, negotiating and reviewing of various commercial agreements such as shareholders’ agreements, share subscription agreements, disclosure letters, debt conversion agreements, business and asset transfer agreements, share purchase agreements, financing agreements and ancillary documents thereto including the fulfilling of the conditions precedents therein and engaging various regulators in different sectors for the various approvals of the transactions;
- preparation of legal opinions on a wide range of commercial matters including setting up businesses in Kenya, regulatory requirements to implement certain transactions such as changes in shareholding and directorship, capital markets advice and competition regulation in Kenya and COMESA; and
- Cross-jurisdictional management of various projects (including conducting due diligence and preparing reports) spanning our African footprint.

- Hollard Insurance, one of the largest insurers in southern Africa on its acquisition of a minority stake in the Apollo Group which controls APA Insurance and APA Life Assurance.
- Vantage Capital in its provision of mezzanine funding for Two Rivers.
- Highland Creamers and Foods on its acquisition by Maziwa. Maziwa is an industry leader in the milk sector in East Africa.
- KCB Bank on the competition and regulatory aspects of its acquisition of TMB Bank in South Sudan. KCB is one of the largest commercial banks in Kenya and the greater Eastern Africa region.
- Braeburn, an industry leader in the education sector, on competition compliance in relation to its acquisition of Hillcrest.
- Phatisa on its investment in MHL International Holdings, a printing and packaging group in Sub – Saharan Africa, including advising on the competition aspects of the transaction.
- A steel manufacturer in respect of an investigation by the Competition Authority of Kenya into alleged restrictive trade practices in the steel sector.
