Overview
Naqeeba Hassan is a partner in the Corporate Department of our Cape Town office and a member of the Mergers and Acquisitions Practice.
Naqeeba specialises in general corporate and and mergers and acquisitions.
She has acted for a variety of clients in the public and private sectors, including listed entities and unlisted corporations, private equity funds, asset managers, property developers and financial institutions.
Naqeeba’s experience includes advising clients on M&A, black economic empowerment transactions, corporate re-organisations and restructures, as well as advising on regulatory compliance issues pertaining to corporate governance and mergers and acquisitions transactions.
In addition, Naqeeba is experienced in drafting a number of commercial documents and leading legal due diligence investigations in respect of M&A transactions in a wide range of industries.

Naqeeba has advised:
- Canal+ on its proposed offer to acquire shares in JSE listed MultiChoice for approximately USD 1.7 billion, which was awarded ‘Deal of the Year’ by DealMakers South Africa in 2025.
- Solevo Holdings on its acquisition of Rolfes Holdings, a leading diversified food and agri-business.
- Nampak Limited on its asset disposal strategy in South Africa and other parts of Africa.
- Ardagh Group S.A. in relation to its acquisition of Consol Holdings Proprietary Limited for an equity value of ZAR 15 billion, which was named “M&A Deal of the Year” in the IFLR Africa Awards on 25 August 2022.
- Old Mutual Insure Limited in relation to its acquisition of all of the shares in Genric Insurance Company.
- Next176 Proprietary Limited (a subsidiary of Old Mutual Limited and its new growth and innovation entity) in relation to a number of its investments into / acquisitions of certain growth entities across various sectors in South Africa and the rest of Africa.
- Climate Fund Managers on setting up of a fund in South Africa alongside Bio2Watt to undertake renewable projects in South Africa and the rest of Africa.
- Sanlam Investments, through their private equity business, Sanlam Private Equity, in relation to its acquisition of a majority equity interest in Q Link Holdings Proprietary Limited.
- Sanlam Private Equity in relation to its acquisition of a majority equity interest in Cavalier Group Proprietary Limited, which named “Deal of the Year: Acquisition Large Portfolio Company” by SAVCA (Southern African Venture Capital and Private Equity Association) in 2021.*
- Commonwealth Bank of Australia in relation to its establishment of TymeBank in South Africa, alongside African Rainbow Capital.*
- Bašumi Trust (being the vehicle for PepsiCo’s employee share scheme in South Africa) in relation to its ZAR 1.6 billion BBBEE employee share ownership in PepsiCo Inc, which was named “Deal of the Year” by Dealmakers 2020 in South Africa. *
