Kendall specialises in mergers and acquisitions (public and private), private equity transactions, corporate and commercial transactions, insurance-linked securities, establishment of joint ventures, corporate structures and restructurings, capital markets and segregated accounts structures, capital raisings (debt and equity), listings on the Nairobi Securities Exchange (NSE) and the provision of regulatory advice.

Experience

  • Norfund, The Rohtam Group and Aaavishkaar on the USD25 million debt financing to Balaji EPZ, an EPZ garments manufacturer.
  • Mawingu Mauritius on its convertible loan from InfraCo and, separately, its convertible loan from FMO.
  • Advised IBL Ltd and Société de Promotion et de Participation pour la Coopération Economique (Proparco) on the acquisition of 65% of the shares in Westlands Heights Limited (Westlands Heights), a Mauritian holding company of the East African pharmaceuticals wholesale dealers, Harley’s Limited (Harley Kenya), Harleys (T) Limited (Harley Tanzania) and Harley’s (U) Limited (Harley Uganda).
  • The shareholders of PEG Africa on the sale of PEG Africa to Bboxx Limited.
  • E3 Capital Management (E3 Fund) on the investment by E3 Fund of up to USD 3,000,000 in Carbon Value Exchange Ltd (Cavex), a digital market and payments platform that connects buyers of carbon offsets to high-impact projects in the Global South.
  • Allianz SE on its KES 10.8 billion acquisition of a controlling stake of the general insurance business of Jubilee Insurance in Kenya, Uganda, Tanzania, Mauritius and Burundi.
  • Everstrong Capital on its USD 12 million investment in Gulf Power.
  • On the investment by Norfund and Agri-Vie Fund II into Star Bright Holdings Limited, growers of cut flowers.
  • The Africa Health Fund, L.L.C on its exit from both Avenue Healthcare and Nairobi Womens Hospital.
