Overview

Sherri Hayat is a Senior Associate in the Corporate Department and a member of our Mergers and Acquisitions (M&A) Practice group, based in our Cape Town office.

In addition to M&A, Sherri has extensive experience in advising on commercial transactions generally, and in drafting commercial contracts and providing contractual advice.

Sherri’s experience includes acting as lead associate on a number of large cross-border and domestic commercial transactions, with deal values in excess of USD 1 Billion and extending across 33 jurisdictions worldwide. She has been actively involved in every aspect of the process, including structuring, negotiation, drafting agreements, project and regulatory management, managing due diligence investigations and drafting due diligence reports. Sherri has regularly assisted in providing advice to one of South Africa’s largest financial services groups, global oil and gas majors and clients in the mining, renewable energy, fintech, real estate and fast-moving consumer goods sectors, amongst others.

Sherri completed her Bachelor of Social Sciences and Bachelor of Laws degrees at the University of Cape Town. She was admitted on the UCT Dean’s Merit List and is a member of the Golden Key International Honour Society.

A selection of Sherri’s experience prior to joining Bowmans

Sherri has acted as lead associate on a wide range of commercial transactions, from inception to closing, including in respect of:

  • The South African and cross-border regulatory aspects in respect of the issue by Sanlam Limited of shares amounting to 5% of its share capital to BEE shareholders, including Ubuntu-Botho Investments.
  • Managing the regulatory aspects across 33 jurisdictions world-wide in relation to the USD1,05 billion acquisition by Sanlam Emerging Markets Ireland of equity in Saham Société Anonyme, and indirectly, in Moroccan insurer Saham Finances Société Anonyme, being the largest M&A insurance transaction on the African continent to date at the time.
  • The acquisition by Sanlam Private Wealth of the entire issued share capital of Brackenham Investments, a company specialising in the provision of private wealth management services, incorporating both investment advice and asset management services.
  • The acquisition by Sanlam Private Wealth of the Private Client & Stockbroking business divisions of Bridge Fund Managers, a company with business divisions incorporating wealth and portfolio management advisory functions and fiduciary services, as well as stockbroking functions.
  • The widely anticipated subscription by various stakeholders, including Futuregrowth Asset Management of equity in Retail Capital.
  • The acquisition of the entire issued share capital of Ladismith Cheese Company by a wholly-owned subsidiary of Sea Harvest Group Limited.
  • The acquisition by Lewis Stores of the entire issued share capital of United Furniture Outlets.
  • The acquisition of Cape Epic by Ironman USA.
  • Advising some of the world’s largest international renewable energy conglomerates (including Enel Green Power, Scatec Solar and Canadian Solar) in the acquisition of project companies and drafting transactional agreements in respect of the regulatory framework under the Renewable Energy Independent Power Producer Programme.
