Overview

Daniel Makhanu is an Associate in our Nairobi office in the Real Estate and Construction Practice.

Daniel’s practice mainly focuses on commercial and retail real property, real estate development, construction, joint ventures, due diligence, finance and general commercial advisory. His experience includes a wide range of real estate development projects, conservation and tourism development and general corporate and commercial matters.

Experience

  • Advising Gateway Real Estate Africa on the post completion matters relating to consular housing development within Nairobi that have been leased to the United States Bureau of Overseas Building Operations (OBO).
  • Advising a developer on the proposed set up through a joint venture agreement on the development of a one hundred and fifty (150) bed multi-specialty hospital with an estimated transaction value of USD. 40 million.
  • Part of the team that has been assisting Lewa Conservancy on its day-to-day operations together with the control of various properties measuring approximately 37,000 acres by our client with an aim of creating a model and catalyst for the conservation of wildlife and its habitat.
  • Advising on the reorganization of Borana Conservancy by incorporating of new classes of shares in the land holding company and assisting in the reclassification of its shares that relate to the different land rights in the conservancy.
  • Advising a multinational Fund on the legal and tax structures for the development of affordable housing units with a comparison on the joint venture model vis a vis a turnkey model.
  • Advised Nairobi Jaffrey Academy on their partnership with Southampton Football Club (Southampton FC) on the formation of an Elite Sports Academy.
  • Advised the board of directors of Orly Airpark Limited, a private airpark in Kenya, on the structure of sale of hangers and notably the proposed set up of an aircraft fuel station.
  • Acted on behalf of Maxim Agri Limited, for the acquisition of land and the setup of their multimillion factory in Naivasha.
  • Advised Cytonn Real Estate LLP on the legal set up and structure of their flagship project Amara Ridge which was approximately KES 1.2 Billion, together with the legal set up, structure and sales of one of the largest mixed use developments in Kenya, The Alma.
  • Advised the board and management of a conservancy Naretoi, a unique 1,000-acre safari estate in the greater Mara Ecosystem on the changes affecting the legal structure, shareholders agreement and the rules and regulations that apply within the precinct.
  • Advised and acted on behalf of Shikati Limited on the sale of camps in Maasai Mara within the Mara North Conservancy.
  • Advised and acted on behalf of the Kenya Society of Protection and Care for Animals (KSPCA) on their reorganisation and the setup of its Nanyuki Branch.

Qualifications

  • Bachelor of Laws (LLB) degree from the Catholic University of East Africa.
  • Postgraduate Diploma in Law from the Kenya School of Law.
  • Advocate of the High Court of Kenya, member of the Law Society of Kenya and National Reporter of Kenya for the International Bureau of Fiscal Development (IBFD).
