Callie-Jo Bouman is an associate in our Cape Town office’s Corporate Department.

She specialises in mergers and acquisitions and general corporate and commercial law. She has experience in domestic and multinational transactions for public and private clients including private equity funds, financial service providers and energy and resource providers. Her experience includes advising on asset and share acquisitions, disposals, restructurings, en commandite partnerships, constitutional documents, scheme of arrangements, sale of business agreements, service level agreements, lease agreements, minority shareholder protections, trusts, tender proposals and regulatory compliance issues pertaining to corporate governance and broad-based black economic empowerment. She has drafted various commercial contracts as well as conducted and managed legal due diligence investigations.

Callie-Jo holds a BCom (Accounting with Law) degree and LLB (cum laude) degree from the University of Cape Town.

Relevant Experience

  • Advising a company aimed at investing in technology start-ups in the FinTech and adjacent industries, by amending its memorandum of incorporation and shareholders’ agreement to maintain Black ownership levels in terms of the BEE Codes, attract angel investors and maximise ESD points.
  • Advising the University of Cape Town on the establishment of the UCT Online Highschool in partnership with Valenture OP CO UK Limited and the drafting of the memorandum of agreement for the revenue share model structure, intellectual property rights, know-how and methodology, profit sharing, minority protection rights, brand and reputation risk and exit mechanisms.
  • Advising Mining, Minerals & Metals PLC in respect of its energy focused acquisition from Africa Resources Holdings, LLC to purchase the entire issued share capital of Narnia Mauritius Gas Holdings Limited, holder of the Lindley Natural Gas Project exploration licences situated in the Free State, South Africa.
  • Advising one of the largest mining public companies on its acquisition of all of the issued and outstanding class of shares in a copper mining company, a concurrent spin-out of an indirect interest in the particular mining project and a plan of arrangement.
  • Advising Sanlam’s SanPref in relation to its provision of preference share and debt funding to a consortium of issuers and a single borrower in respect of its acquisition of all of the shares in QLINK Holdings and drafting the shareholders’ agreement and memorandum of incorporation.
  • Advising Nurture Food Investments Proprietary Limited on its subscription for 40% of the issued share capital of Fairview Cheese Company Proprietary Limited and drafting the subscription agreement, shareholders’ agreement and memorandum of understanding for the intellectual property rights.
  • Advising Farmerline Group, a leading company that develops solutions to increase access to farmers and simplify agricultural transactions, on various capital fund raising, including the drafting of transactional documents and facilitating negotiations on exit mechanisms and alignment of polices amongst various investors.
  • Advising various en commandite partnerships on their term sheet, partnership agreement and management agreement.
